These Terms and Conditions (“Terms”) constitute a legally binding agreement between VINAM Studio (“VINAM”, “we”, “us”) and any individual or entity (“Client”) engaging with our website or services.
By accessing this website or engaging VINAM for services, the Client agrees to be bound by these Terms.
1. Scope of Services
VINAM provides branding and design services including, but not limited to:
Brand strategy
Visual identity systems
Packaging design
Digital brand systems
Creative direction
All services are project-based unless otherwise agreed in writing.
2. Intellectual Property
Unless otherwise agreed in writing:
Upon full payment, all final approved deliverables created specifically for the Client become the property of the Client.
VINAM retains the right to display completed work for portfolio, marketing, and promotional purposes unless a separate NDA is signed.
Preliminary concepts, unused drafts, and internal process materials remain the property of VINAM.
VINAM warrants that all original work created is free from third-party infringement to the best of its knowledge.
3. Client Responsibilities
The Client represents and warrants that:
All materials provided (logos, images, text, trademarks, etc.) are owned by the Client or properly licensed.
The Client has the legal authority to engage VINAM.
Feedback and approvals will be provided in a timely manner.
Delays in feedback may affect project timelines.
4. Third-Party Licenses
If any project incorporates third-party assets (such as fonts, stock images, or software licenses) requiring separate licensing:
VINAM will inform the Client.
The Client is responsible for purchasing any required commercial licenses unless otherwise agreed.
Licenses held by VINAM are not transferable unless explicitly stated in writing.
5. Payment Terms
Payment structure (deposit, milestone, final payment) will be outlined in the project proposal.
Work begins only after receipt of the agreed deposit.
Final deliverables are released only after full payment.
All payments are non-refundable once work has commenced, unless otherwise agreed in writing.
Late payments may result in project suspension.
6. Refund Policy
Due to the strategic and creative nature of branding work:
Deposits are non-refundable.
Payments for completed work phases are non-refundable.
In the event of project termination by the Client, VINAM retains ownership of all work created until full payment is received.
7. Limitation of Liability
VINAM shall not be liable for:
Indirect, incidental, or consequential damages.
Loss of profits, revenue, or business opportunity.
Third-party claims arising from Client-provided materials.
Total liability, if any, shall not exceed the total fees paid by the Client for the specific project.
8. Confidentiality
VINAM agrees to maintain confidentiality regarding proprietary business information provided by the Client.
If required, a separate Non-Disclosure Agreement (NDA) may be signed.
9. Website Use
Users of the VINAM website agree not to:
Use the website for unlawful purposes.
Attempt to access restricted areas.
Copy, reproduce, or exploit website content without written permission.
All website content is protected under applicable intellectual property laws of the State of Israel.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Israel.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Israel.
11. Modifications
VINAM reserves the right to update or modify these Terms at any time.
Continued use of the website or services constitutes acceptance of the updated Terms.
